1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Express Electronics website (see.com.sg) and any related services, content, and products (collectively, the "Services") provided by Express Electronics ("we", "our", or "us").
By accessing or using our Services, you agree to be bound by these Terms. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.
2. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after any changes constitutes your acceptance of the new Terms.

5. Products and Services
Product Information
We strive to provide accurate information about our products and services. However, we do not warrant that product descriptions, specifications, or other content on our website are accurate, complete, reliable, current, or error-free.
Pricing and Availability
All prices are subject to change without notice. We reserve the right to modify or discontinue any product or service at any time. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of our Services.
Orders and Quotes
All orders are subject to acceptance by us. We may refuse or cancel any order for any reason, including limitations on product availability, errors in product or pricing information, or suspicion of fraudulent activity.
Quotes provided are valid for the period specified in the quote. If no period is specified, quotes are valid for 30 days from the date of issue.
6. Payment Terms
Payment terms will be specified in your order confirmation or invoice. Unless otherwise agreed in writing, payment is due within 30 days of invoice date.
We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
7. Shipping and Delivery
Shipping costs and delivery times are estimates only. We are not responsible for delays in delivery due to circumstances beyond our control, including but not limited to customs delays, weather conditions, or carrier issues.
Risk of loss and title for products pass to you upon our delivery to the carrier.
8. Returns and Refunds
Our return and refund policy is as follows:
- Defective products may be returned within 30 days of receipt for replacement or refund
- Non-defective products may be returned within 14 days of receipt, subject to a restocking fee
- Custom or specially ordered products are generally not returnable unless defective
- All returns require prior authorization from us

9. Warranties and Disclaimers
Product Warranties
We warrant that our products will conform to their specifications and be free from defects in materials and workmanship under normal use for a period of one year from the date of shipment, unless otherwise specified.
This warranty does not cover damage resulting from accident, misuse, abuse, neglect, improper installation, or unauthorized modifications.
Service Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPRESS ELECTRONICS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
- ANY CONTENT OBTAINED FROM OUR SERVICES
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Express Electronics and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.
12. Governing Law and Dispute Resolution
Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore.
Dispute Resolution
Any dispute arising from these Terms or your use of our Services shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to the Singapore International Arbitration Centre (SIAC) for binding arbitration in accordance with its rules.
13. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use our Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Miscellaneous
Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Entire Agreement
These Terms constitute the entire agreement between you and Express Electronics regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms.

Procurement Sourcing terms: These additional terms apply when you engage Express Electronics for procurement and sourcing services (as defined below). They complement our general Terms of Service.
Sourcing services – definitions & scope
2. Scope of Services
2.1 Services may include, but are not limited to:
- Supplier sourcing and identification
- Supplier qualification and evaluation
- Price benchmarking and commercial negotiation
- Purchase coordination and order placement
- Logistics coordination and delivery support
- Documentation support (quotations, POs, invoices, delivery orders)
2.2 The Service Provider acts solely as a procurement and sourcing facilitator unless otherwise agreed in writing.
3. Nature of Engagement
3.1 The Service Provider acts as a sourcing agent/facilitator and does not manufacture, own, or stock the Goods unless expressly stated in writing.
3.2 All Goods are supplied by third‑party Suppliers located in China, ASEAN countries, or other jurisdictions, and are subject to the Supplier's own terms, specifications, tolerances, and warranties.
3.3 The Service Provider does not guarantee Supplier performance, product conformity beyond Supplier representations, production capacity, or delivery timelines.
4. Pricing and Fees
4.1 Service fees, commissions, or mark‑ups (if applicable) shall be agreed in writing prior to commencement of Services.
4.2 Prices quoted for Goods sourced from overseas Suppliers are subject to change due to Supplier price adjustments, foreign exchange fluctuations, freight rates, fuel surcharges, duties, taxes, or changes in regulatory requirements.
4.3 Unless otherwise stated, all prices are exclusive of customs duties, import taxes, GST/VAT, insurance, inspection fees, banking charges, and international or domestic logistics costs.
5. Payment Terms
5.1 Payment terms shall be as stated in the quotation or invoice.
5.2 The Service Provider reserves the right to require advance payment or deposits prior to order placement.
5.3 Late payments may result in suspension of Services and shall accrue interest at a reasonable commercial rate.
6. Orders and Confirmations
6.1 Orders shall only be deemed confirmed upon written acceptance by the Service Provider and, where applicable, receipt of payment.
6.2 Any amendments or cancellations requested after order confirmation are subject to Supplier acceptance and may incur additional costs.
7. Delivery, Logistics, and Risk
7.1 Delivery dates provided are estimates only and are subject to Supplier production schedules, logistics conditions, and cross‑border transportation constraints.
7.2 Unless otherwise agreed in writing, delivery shall be governed by the Incoterms® specified in the quotation or order confirmation. If no Incoterms® are specified, delivery shall be Ex Works (EXW) Supplier's premises.
7.3 Risk of loss or damage to the Goods shall pass to the Client in accordance with the applicable Incoterms®.
7.4 The Service Provider shall not be liable for delays or losses arising from customs inspections, port congestion, regulatory holds, force majeure events, or carrier‑related disruptions.
8. Inspection and Acceptance
8.1 The Client shall inspect Goods promptly upon delivery.
8.2 Any claims for shortages, defects, or non‑conformance must be notified in writing within a reasonable period, as specified by the Supplier.
8.3 Claims are subject to Supplier assessment and approval.
9. Warranties and Liability
9.1 Any warranties applicable to the Goods are provided solely by the Supplier.
9.2 The Service Provider disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose, to the maximum extent permitted by law.
9.3 The Service Provider's liability, if any, shall be limited to the value of the service fees received for the relevant transaction.
10. Compliance, Trade, and Regulatory Matters
10.1 The Client acknowledges that the Services may involve cross‑border sourcing and procurement from China, ASEAN countries, or other jurisdictions.
10.2 The Client is responsible for ensuring that the Goods comply with all applicable laws, regulations, standards, and import requirements in the destination country, including but not limited to customs regulations, safety standards, labelling requirements, and environmental compliance.
10.3 Unless otherwise expressly agreed in writing, the Service Provider does not act as the importer of record, exporter of record, or customs declarant.
10.4 Any assistance provided by the Service Provider in relation to trade documentation, certificates of origin, test reports, or regulatory submissions is provided on a best‑effort basis and does not constitute a guarantee of regulatory approval or customs clearance.
10.5 The Client shall be responsible for all customs duties, import taxes, value‑added tax (VAT), goods and services tax (GST), and other governmental charges applicable to cross‑border transactions.
11. Confidentiality
11.1 Both parties shall treat all commercial, technical, and pricing information as confidential.
11.2 Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.
12. Intellectual Property
12.1 All documents, reports, and materials prepared by the Service Provider remain its intellectual property unless otherwise agreed in writing.
13. Termination
13.1 Either party may terminate the engagement by written notice, subject to completion of confirmed orders and settlement of outstanding payments.
13.2 Termination shall not affect rights and obligations accrued prior to termination.
14. Governing Law and Jurisdiction
14.1 These Terms shall be governed by and construed in accordance with the laws of Singapore.
14.2 The parties submit to the exclusive jurisdiction of the courts of Singapore.
15. General Provisions
15.1 These Terms constitute the entire agreement between the parties relating to the Services.
15.2 Any amendments must be made in writing and agreed by both parties.
15.3 If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
